1. These terms
These terms and conditions ("Terms") govern access to and use of the VARENTO platform, websites and related services (the "Service") supplied by Varento Technologies Limited (trading as VARENTO), incorporation in progress — company number to follow, registered office to be confirmed on incorporation, operating under the laws of England & Wales ("Varento", "we", "us"). UK and EU trade mark applications pending.
Varento Technologies Limited is in the process of incorporation in England & Wales. Until incorporation completes, the Service is provided by the founding operator on the same terms, and the company will assume them on registration; the registered company number and office will be published here and in your signed copy at that point.
By creating an account, signing electronically below, or using the Service, you agree to these Terms. Where you sign as a company admin or director, you confirm you are authorised to bind the organisation you name.
The current version is 1.0, effective 2026-08-03. We will give at least 30 days' notice of material changes and will ask affected parties to sign the new version.
2. Accounts, verification and roles
Companies, managers and sites must complete verification before workforce tools are unlocked. You must supply accurate company accreditation evidence, proof of role and a director-authorised declaration, and keep them current.
You are responsible for all activity under your account and for keeping credentials secure. Roles must reflect real responsibilities; you must remove access promptly when a person leaves or changes role.
We may suspend access where verification evidence is missing, false, expired or withdrawn, or where use puts other users or site safety at risk.
3. Subscriptions, fees and term
Worker and Company plans are rolling monthly subscriptions billed in advance. Enterprise plans are billed per live site with unlimited managers under an order form. Governing body access is provided free of charge for uploading cards and competencies at source.
Fees are exclusive of VAT. Company plans include up to five manager seats and unlimited sites; exceeding the seat limit moves the account to Enterprise pricing on notice.
Either party may cancel a rolling monthly plan with effect from the next renewal date. Fees already paid are non-refundable except where required by law.
4. Data protection roles
The employer or principal contractor is the controller of its workforce data. Varento acts as processor and processes personal data only on documented instructions, under the Art. 28 terms in our Data Processing Agreement.
Governing bodies exchange professional competencies, card records and card photographs only. Personal details such as home address, date of birth and contact details are not exchanged through scheme integrations.
Each party will comply with the UK GDPR, the EU GDPR where applicable, and the Data Protection Act 2018. Worker data-rights requests are routed to the controller through the in-product data-rights portal.
5. Records, evidence and accuracy
Compliance status is derived from the required card — CSCS or CISRS — with all other certificates recorded as additional evidence. Varento presents the records supplied to it; it does not certify a person's competence.
You must not upload false, altered or fraudulently obtained cards or certificates. Uploading evidence marks a record as verified by the uploading organisation, and that organisation remains responsible for the accuracy of what it uploads.
Final responsibility for site access decisions, supervision and safe systems of work rests with the employer and principal contractor.
6. Acceptable use and anti-poaching
Availability in the recruitment module requires dual consent: the worker opts in and the current employer releases the worker. You must not use the Service to circumvent those controls, to scrape worker data, or to approach workers who are not shown as available.
Outreach messages are logged. Repeated attempts to identify or approach protected workers may result in suspension.
You must not reverse engineer, resell or provide the Service to third parties except as expressly permitted by your plan.
7. Intellectual property
Varento retains all rights in the Service, its software, design and documentation. You retain all rights in the records and content you upload, and grant Varento a licence to host, process and display that content to deliver the Service.
Feedback you provide may be used to improve the Service without restriction or payment.
8. Availability, support and security
We aim for high availability but the Service is provided without a guaranteed uptime commitment unless one is agreed in an Enterprise order form. Planned maintenance is notified in advance where practical.
We apply role-based access control, encryption in transit, audit logging and EU data residency. You must report any suspected compromise of your account to us without undue delay.
9. Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.
Subject to that, our total aggregate liability in any 12-month period is limited to the fees paid by you in that period, and we are not liable for indirect or consequential loss, loss of profit, loss of contracts, or losses arising from decisions made on site.
The Service supports — but does not replace — your own statutory health, safety and competence duties.
10. Suspension and termination
We may suspend or terminate access for material breach, non-payment, or where continued access presents a safety, legal or security risk. You may terminate at any time by cancelling your plan and closing your account.
On termination we retain records only for the retention periods set out in our privacy documentation, or for as long as the controller instructs, then delete or anonymise them.
11. Electronic signature
You agree that signing electronically on this page — by typing your name and, where offered, drawing your signature — has the same legal effect as a handwritten signature under the Electronic Communications Act 2000 and the eIDAS Regulation as retained in UK law.
Each signature is stored with the signatory name, role, party type, terms version, timestamp, IP address and browser details as evidence of acceptance.
12. Governing law
These Terms and any dispute arising out of them are governed by the laws of England & Wales, and the parties submit to the exclusive jurisdiction of the courts of England & Wales.
